Acceptance of Terms

Welcome to Orchid. By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and Zero Email, Inc. ("Orchid," "we," "us," or "our") regarding your use of Orchid's AI-powered productivity platform and related services (collectively, the "Service").

By creating an account, connecting integrations, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

Description of Service

Orchid is a proactive AI agent that connects to your workplace tools (including email, calendar, chat, documents, CRM, code repositories, billing, and analytics) to interpret signals as tasks, execute routine work, and escalate to you for decisions, exceptions, and high-impact actions.

The Service includes, but is not limited to:

  • AI-powered task interpretation and prioritization
  • Automated execution of routine workflows
  • Integration with third-party services via secure OAuth connections
  • Intelligent escalation and approval workflows
  • Audit trails and action history
  • Customizable playbooks and automation rules

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

User Accounts

Account Creation

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 18 years old to use the Service
  • One person or legal entity may not maintain more than one account

Account Security

  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • We recommend enabling all available security features, including two-factor authentication
  • We are not liable for any loss or damage arising from your failure to secure your account

Organizational Accounts

  • If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms
  • Organization administrators may manage user access and permissions
  • Organization administrators are responsible for their users' compliance with these Terms

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Prohibited Activities

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction, including privacy and data protection laws
  • Transmit malware, viruses, or any other malicious code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service in a manner that could damage, disable, or impair the Service
  • Scrape, harvest, or collect information from the Service without permission

AI Agent Usage

  • You are responsible for reviewing and approving actions that Orchid takes on your behalf
  • You must configure appropriate autonomy levels and approval thresholds
  • You should not use Orchid to perform actions that violate third-party terms of service
  • You acknowledge that AI systems may occasionally make errors and should be supervised

Third-Party Integrations

The Service allows you to connect third-party applications and services ("Integrations"). When you connect an Integration:

  • You authorize Orchid to access and interact with those services on your behalf
  • You are responsible for complying with the terms of service of each Integration
  • You understand that Integrations may have their own privacy policies and data practices
  • You can disconnect any Integration at any time through your account settings
  • We are not responsible for the availability, accuracy, or security of third-party services
  • Changes to Integration APIs or terms may affect Service functionality

We use OAuth 2.0 for all integrations and request only the minimum permissions necessary for the Service to function. You can review and manage Integration permissions at any time.

Intellectual Property

Our Intellectual Property

  • The Service and its original content, features, and functionality are owned by Orchid and are protected by copyright, trademark, and other intellectual property laws
  • Our trademarks, service marks, and logos may not be used without our prior written consent
  • These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it in accordance with these Terms

Your Content

  • You retain all rights to the content you submit to or through the Service
  • By using the Service, you grant us a limited license to access, process, and display your content as necessary to provide the Service
  • We do not claim ownership of your content or the content from your Integrations
  • You are responsible for ensuring you have the right to submit any content to the Service

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.

Payment Terms

Subscription Fees

  • Certain features of the Service require a paid subscription
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law
  • We may change our fees upon 30 days' notice; continued use after the change constitutes acceptance

Refund Policy

  • We offer a 30-day money-back guarantee, no questions asked
  • If you're not satisfied within 30 days of purchase, contact us for a full refund
  • Annual subscribers can request a prorated refund within 60 days
  • Refund requests should be sent to nizzy@orchid.ai

Cancellation

  • You may cancel your subscription at any time through your account settings
  • Upon cancellation, you will retain access until the end of your current billing period
  • We reserve the right to suspend or terminate accounts with outstanding balances

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements
  • The AI agent will always make optimal decisions or take perfect actions

You acknowledge that AI systems, including Orchid, may occasionally produce incorrect, incomplete, or inappropriate outputs. You are responsible for reviewing and validating actions before they are executed, particularly for high-stakes decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCHID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

In no event shall our total liability exceed the greater of (a) the amounts you have paid to Orchid in the twelve (12) months prior to the claim, or (b) one hundred dollars ($100).

This limitation applies to:

  • Actions taken by the AI agent on your behalf
  • Errors, mistakes, or inaccuracies in the Service
  • Unauthorized access to or alteration of your data
  • Service interruptions or downtime
  • Third-party Integration failures or changes
  • Any other matter relating to the Service

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Orchid and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including Integrations' terms of service
  • Any content you submit to or through the Service
  • Actions taken by Orchid on your behalf that you authorized or approved

Termination

Termination by You

  • You may terminate your account at any time through your account settings
  • Upon termination, you will lose access to the Service and your data
  • We recommend exporting your data before terminating your account

Termination by Us

  • We may suspend or terminate your account if you violate these Terms
  • We may terminate accounts that have been inactive for an extended period
  • We may terminate the Service entirely with reasonable notice

Effect of Termination

  • Upon termination, all licenses granted to you will immediately cease
  • Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitation of liability
  • We are not liable to you or any third party for termination of your access

Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and, for material changes, notify you via email or through the Service.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

We encourage you to review these Terms periodically to stay informed about our requirements and any changes.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Orchid.

General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Orchid regarding the Service
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision
  • Assignment: You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction
  • Force Majeure: We are not liable for any failure or delay due to circumstances beyond our reasonable control
  • Notices: We may provide notices to you via email, through the Service, or by posting on our website
